(hereinafter referred to as "Provider")
The subject of the contract is the provision of consulting and advisory services for companies, founders, and executives in the areas of AI Enablement, Strategic Advisory, Board Advisory, Angel Investment, Technology Consulting, Facility Management, and Digital Marketing.
The specific services are defined in the respective service description, proposal, or individual agreement.
Contracts are concluded via electronic communication, telephone, or email. Presentations of services on our website or in proposals constitute a non-binding invitation to submit an offer by the client, which the Provider may then accept.
A contract is only concluded upon written or electronic confirmation of the order by the Provider.
Contract duration is agreed individually. Unless otherwise agreed, ongoing contracts may be terminated by either party with one month's notice to the end of the month, in writing or by email, without giving reasons.
The right to extraordinary termination for cause remains unaffected.
All prices are net prices and are subject to applicable statutory VAT where applicable.
Payments are due upon receipt of invoice to the account specified therein, unless alternative payment terms have been agreed. In the event of late payment, the Provider is entitled to charge default interest at the statutory rate.
The Provider delivers the agreed services after receipt of the order and, where advance payment has been agreed, after receipt of payment, unless different timelines have been agreed.
The Provider reserves the right to engage qualified subcontractors for service delivery, provided this does not impair the quality of the service.
The client shall provide the Provider with all information, access, and documents necessary for service delivery in a timely and complete manner. Delays arising from a breach of these obligations shall not be attributed to the Provider.
Both parties undertake to treat all confidential information received from the other party as confidential and not to disclose it to third parties, unless required for service delivery or required by law.
This confidentiality obligation continues after the termination of the contractual relationship.
The Provider is liable for damages only in cases of intent or gross negligence. Liability for slight negligence is excluded to the extent permitted by law, except for damages resulting from injury to life, body, or health.
The Provider's total liability is limited to the value of the respective engagement, unless mandatory law provides otherwise.
To the extent that works or concepts are created in the course of an engagement, the copyrights remain with the Provider. The client receives a simple right of use for the agreed purpose. Further transfers of rights require a separate written agreement.
Claims of the client arising from this contractual relationship may not be assigned or pledged without the prior written consent of the Provider.
These Terms and Conditions are governed exclusively by Swiss law. The place of jurisdiction for disputes is Ermatingen, Canton Thurgau, Switzerland, to the extent permitted by law.
Should any provision of these Terms and Conditions be invalid, this shall not affect the validity of the remaining provisions.
Personal data is collected, stored, and processed in accordance with applicable legal requirements. The Provider does not disclose clients' personal data to third parties unless required by law or with the client's consent.
